Terms of Service

1. Purpose

These Terms of Service ("Terms") govern the use of the Limeo platform (limeo.io), a B2B SaaS service for automated cloud and AI infrastructure cost optimization, operated by KRZ CORP. By creating an account or using the Service, you agree to be bound by these Terms.

2. Definitions

"Service" refers to the Limeo platform accessible at limeo.io and all related APIs. "User" refers to any individual or entity that creates an account on the platform. "Organization" refers to the legal entity on behalf of which a User accesses the Service. "Proposal" refers to a cost-saving recommendation generated by Limeo. "Provider" refers to a connected cloud infrastructure provider (e.g., AWS, GCP, Azure).

3. Service Description

Limeo connects to your cloud and AI infrastructure providers to analyze resource usage, identify cost-saving opportunities, and execute approved optimizations. The Service covers compute, storage, networking, databases, AI/LLM APIs, and data platforms (Snowflake, Databricks). Limeo operates on a read-only basis unless the User explicitly approves an action. All actions are logged, reversible where technically possible, and traceable.

4. Account & Access

Access to Limeo requires creating an account with a valid professional email address. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Each Organization must designate at least one administrator. Limeo reserves the right to suspend accounts that violate these Terms or engage in abusive behavior.

5. User Obligations

As a User of the Service, you agree to:

• Provide accurate and up-to-date information for your account and Organization
• Grant only the minimum cloud permissions required for the Service to operate
• Review proposals before approving them and take responsibility for approved actions
• Not attempt to reverse-engineer, copy, or redistribute any part of the Service

6. Billing

Limeo operates on a performance-based billing model (success fee): 15% of the realized, verified savings generated by the platform over the monthly billing period. Savings are calculated as the verified difference between cost before and after each approved optimization. If no savings are generated, no fees are charged. Billing is processed monthly via Stripe with automatic charge upon invoice issuance. Detailed billing breakdowns are available in your dashboard.

7. Intellectual Property

The Limeo platform, including its algorithms, user interface, documentation, and branding, is the exclusive property of KRZ CORP. Your cloud data remains your property at all times. By using the Service, you grant Limeo a limited, non-exclusive license to access and analyze your cloud metadata solely for the purpose of delivering the Service. Limeo does not use your data to train AI models or share it with other customers.

8. Data & Privacy

Limeo processes data in accordance with its Privacy Policy and applicable regulations including the GDPR. Cloud metadata is processed solely for delivering optimization proposals. We do not access application data, secrets, or database contents. Data processing agreements are available upon request.

9. Liability Limitations

Limeo provides optimization proposals based on automated analysis. While we strive for accuracy, Limeo cannot guarantee that every proposal is risk-free. The User is responsible for reviewing and approving actions. Limeo’s total liability is limited to the fees paid by the User in the 12 months preceding the claim. Limeo is not liable for indirect, consequential, or special damages, including lost profits or data loss resulting from approved optimizations.

10. Termination

Either party may terminate the Service at any time with 30 days written notice. Upon termination, Limeo will cease all access to your cloud providers within 24 hours. Your data will be retained for 90 days after termination for audit purposes, after which it will be permanently deleted. Outstanding fees for savings already realized remain due.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of France. Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Paris, France.
